CELEBRITY APPEARANCE AGREEMENT This agreement is made on this 1 day of December, 2010 between Famous Foodie Tours, LLC, headquartered at 8650 Lake Shore Drive, Suite 760, Chicago, Illinois and Rebecca Roy, who is represented by Joe Collichio, who resides at 690 Washington Street, Apartment 110, New York, New York. Hereinafter, Famous Foodie Tours, LLC will be referred to as “COMPANY” and Rebecca Roy will be referred to as “TALENT”. 3. TALENT shall provide COMPANY with a portfolio of recipes 30 days prior to the start of the tour for COMPANY to look over and review. Based upon the portfolio of the recipes, COMPANY is permitted to choose the recipes that TALENT must use and which ones she cannot use during each specific appearance; however, COMPANY can never alter the ingredients within TALENT’s recipes. COMPANY has actual veto power over which recipes to choose from during every performance. Payments for Appearance 1. The full price of each appearance has been agreed upon prior to performance. The Company agrees to pay as full compensation for the performance(s) a total of: $75,000 per appearance if performing just one show for the day. However, if Rebecca is performing both matinee and evening shows on the same day, she will be paid a total of $125,000 for both shows. 2. Any amount owed to TALENT shall be paid by certified check by COMPANY to AGENT, TALENT’s representative, in the name of REBECCA ROY. 3. The balance due hereunder shall be mailed within ten working days following the performance. Works 1. If COMPANY books TALENT to appear and perform at Events, TALENT hereby grants to COMPANY and COMPANY hereby accepts, the exclusive right during the term of this Agreement to video tape, film, photograph, or otherwise record, or to authorize others to do so, by any media, TALENT's appearance, performance, commentary, and any other work product for any or all of the Events. 2.
